Applications invited for the post of the Managing Director & CEO

Applications are invited from suitably qualified and experienced candidates for the post of Managing Director & CEO of the MSE Clearing Corporation Ltd. (MSE CCL).

The MSE CCL is a new age Clearing Corporation constituted to undertake clearing and settlement of deals in multi asset classes. The Company offers best-in-class services to its clearing members with the help of its state of the art risk management framework and unparalleled clearing and settlement systems with dedicated linkages with clearing partners. The Company currently holds in-principle recognition given by the SEBI under the SEBI regulations.

Qualification & Experience
The candidate must be a MBA/CA/Post graduate in Economics or Commerce having experience in the fields of capital market, finance or management and possessing sufficient experience in related fields for at least 15 years. Past/previous experience of having worked in Stock Exchanges, Clearing Corporations specifically in the field of clearing and settlement, risk management etc. is desirable

The candidate must be aged not more than 50 years as on October 10,2014. Age and experience limits may be relaxed for deserving candidates at the sole discretion of the Selection Committee. The Managing Director & CEO shall report to the Board of Directors and shall be responsible to conduct the affairs of the Clearing Corporation under the direction and supervision of the Board. Specifically, he/she shall be responsible for achieving sustainable growth in business. He/she shall also be responsible to ensure compliance with all relevant requirements of SEBI, and will be aided by the Compliance Officer in this regard. He/she would be required to perform various functions in accordance with the Bye-laws, Rules and Regulations of the Clearing Corporation, including those that may be delegated by the Board. He/she would be part of or assist the functioning of different statutory and corporate committees of the Clearing Corporation. All functionaries of the Clearing Corporation would report to him/her.

It shall be the duty of the Managing Director & CEO to give effect to the directives, guidelines and other orders issued by the SEBI in order to implement the applicable provisions of law, rules, regulations as also the Rules or the Articles of Associations, Regulations and Bye-laws of the Clearing Corporation.

Compensation
Compensation shall be commensurate with quali¬fication and experience. The appointment and compensation will be subject to approval of the SEBI in terms of Regulation 27(4) of the SECC Regulations, 2012. The candidate shall hold office for a term of 3 years, which could be extended by the Board.

Term
The candidate shall hold office for a term of 3 years subject to approvals of the Board of Directors and the SEBI, which could be extended by the Board of Directors, subject to approval of the Shareholders and the SEBI.

Selection Procedure
The screening of applications, interview of eligible candidates, final selection and recommendation to the Board of Directors shall be done by the Selection Committee constituted in accordance with the relevant SEBI Circulars. The Selection Committee may, at its sole discretion, reject any or all applications received without assigning any reasons whatsoever or waive minor defects, irregularities, or informalities therein. The decision of the Selection Committee will be final.
